Master intelligence services agreement

The contract framework for annual and negotiated engagements.

1 · Structure

This Agreement, the Common Terms, the applicable tier terms, and Schedule A together form the contract between (ABN ) and the Subscriber. Where a conflict arises, the order of precedence is: this Agreement, then the tier terms, then the Common Terms.

2 · Schedule A — fees

All figures in United States dollars, exclusive of tax. Monthly fees are payable in advance and cancellable at the end of each paid period. Annual contracts are payable in advance for the full term.

3 · Annual contract formation

CLAUSE 3.1Explorer, Pilot and Planet annual contracts are formed on payment through the self-serve rail.

CLAUSE 3.2Galaxy annual contracts are formed by execution of a written agreement following enquiry and negotiation. Entity verification is completed before execution. Galaxy annual engagements may include revenue or profit share terms, which are set out in the executed agreement and not in this Schedule.

CLAUSE 3.3Galaxy monthly access is available on the self-serve rail without entity verification, subject to the attestation at clause 2 of the Galaxy Terms.

4 · Term and renewal

Monthly subscriptions continue until cancelled. Annual contracts run for twelve months from the date of payment and renew for successive twelve-month terms unless either party gives thirty days' written notice before the end of the then-current term.

5 · Fee revision

The Provider may revise the fees in Schedule A on thirty days' written notice. A revision takes effect for monthly subscribers at the next billing date and does not affect an annual contract already in force.

6 · Incorporated terms

The Common Terms are incorporated into this Agreement in full, including clause 9 (service monitoring and variation), clause 10 (intellectual property) and clause 8 (liability).
