These terms apply to the Galaxy tier and are read together with the Common Terms. Defined terms have the meaning given there.

1 · What this tier provides

Subscriber attestation

CLAUSE 2.1Subscription to this tier is conditional on the Subscriber giving each of the following attestations. Each is given as a separate and discrete affirmation before payment is taken.

CLAUSE 2.2Each attestation is recorded with the version affirmed, the time of affirmation, the originating network address, and the Subscriber's account identifier. That record is evidence of what was represented at the time of subscription.

CLAUSE 2.3Subscriber attestations are renewed annually on the subscription anniversary. Where not renewed, access to intelligence surfaces is suspended until given. Suspension for non-renewal does not terminate the subscription and does not entitle the Subscriber to a refund of fees for the suspended period.

CLAUSE 2.4Galaxy subscription additionally requires the Subscriber to state the entity name, jurisdiction of incorporation, and the role of the person giving the attestation. These are recorded as given. Verification of entity particulars is undertaken at annual contract negotiation and is not a condition of monthly access.

A representation given that was untrue when given is a breach of these Terms and grounds for immediate termination under clause 11 of the Common Terms.

Fees

All fees are stated in United States dollars and exclude any tax, duty or levy imposed in the Subscriber's jurisdiction. Fees are non-refundable except where required by law.

CLAUSE 4.4Where an annual intelligence contract is terminated by the Subscriber before the end of its term, no pro-rata refund is payable. Where terminated by the Provider other than for breach, the unused portion is refunded pro-rata calculated on completed whole months.

5 · Delivery

Intelligence is computed on Provider-controlled infrastructure and delivered as described in the Privacy Policy clause 2. The scoring engine is not delivered to, and does not execute on, the Subscriber's systems.

6 · Intelligence API

CLAUSE 6.1API access is authenticated by key issued to the Subscriber on subscription. The key is personal to the Subscriber and must not be shared, transferred, embedded in any product, or made available to any third party.

CLAUSE 6.2API output may be used for the Subscriber's own internal decision-making only. It must not be redistributed, resold, published, or used to construct any derivative product, index, signal, model or service, whether commercial or otherwise.

CLAUSE 6.3The Subscriber must not use API access to reconstruct, approximate or infer the methodology underlying any output, including by systematic sampling, exhaustive enumeration, or statistical inference across responses.

CLAUSE 6.4API usage is subject to rate limits notified from time to time. Sustained usage at or near a rate limit may attract measures under clause 9 of the Common Terms.

CLAUSE 6.5Where usage indicates that a key has been shared or is being used from multiple uncoordinated sources, the Provider may invalidate the key and require reissue on renewed attestation.

7 · Annual contract

CLAUSE 7.1Monthly access is available on the self-serve rail at the fee in clause 4. Annual engagement is by enquiry and is formed by execution of a written agreement.

CLAUSE 7.2Entity particulars given at monthly subscription are recorded as stated. Verification is undertaken at annual contract negotiation and is a condition of contract execution, not of monthly access.

CLAUSE 7.3Annual engagements may include revenue or profit share terms, seat allocation, custom calibration, and service level commitments. These are agreed in the executed agreement.
